1. The Agreement
This Agreement sets out the complete Terms and Conditions (hereinafter called "These Terms and Conditions") which shall be applicable to the DubeAle application.
This Agreement is a contract between you (“you”, “your”) and DubeAle (“DubeAle”, “we”,“us”, “our”) (each individually a “Party”, and collectively the “Parties”). This Agreement is a legally binding agreement between you and DubeAle governing your non-transferable (unless with our prior written consent) use of DubeAle Services, including use of the DubeAle Card, DubeAle website, and any features and products that DubeAle may make available to you through the DubeAle application or website (collectively, the “Services”). We may transfer or assign this Agreement, and any rights under this Agreement, to a third party without notice to you or without your consent.
These Terms and Conditions might be changed from time to time and EagleLion System Technology PLC will notify the change to the Terms and Conditions to the customer through the email address provided by the Customer, if any.
These Terms and Conditions and any amendments or variations thereto take effect on their date of publication.
2. Definitions
In these Terms and Conditions, the following words and expressions bear the below meanings:
"DubeAle application" shall mean the application/the platform of EagleLion System Technology PLC Services that allow merchants to offer consumers the ability to pay for goods or services in installments (the “Extended Repayment Feature”) which is accessed through your Account.;
"Customer" means the person that uses the DubeAle application;
"You" "you" or "your" means the Customer;
"Service" shall mean the credit service provided under this Agreement by the Bank;
"Transaction" shall mean a financial transaction related to the purchase of goods and services from a DubeAle merchant by its customers;
"OTP" shall mean a one-time unique number that is sent to the Customer through the phone number provided during registration to approve the transaction by providing the number received;
"Subscription fee" means a one-time non-refundable fee applied upon spend limit approval;
"Late Fee" means a fee applied when a customer gets into an overdue payment
“Convenience fee” means a fee applied on every installment payment; and
"Interest fee" an interest fee applied to the customer when purchases from a Cash merchant.
3. Acceptance of the Terms and Conditions
Before applying to use the DubeAle application you should carefully read and understand these Terms and Conditions which will govern the use and operation of DubeAle application..
If you do not agree with these Terms and Conditions, please click "Cancel" on the Menu..
You will be deemed to have read, understood, and accepted these Terms and Conditions upon clicking on ✔/the "Agree" option on the Menu requesting you to confirm that you have read, understood, and agreed to abide by with these Terms and Conditions; and/or by using or continuing to use and operate DubeAle application.
These Terms and Conditions may be amended or varied by EagleLion System Technology PLC from time to time there to take effect on their date of publication.
You acknowledge and accept DubeAle application only electronically and you agree to do business with EagleLion System Technology PLC and to operate DubeAle application only by electronic means via the system of EagleLion System Technology PLC
4. Requirements to Activate and Use DubeAle Application
To be eligible and use the DubeAle application, you must be at least:
-18-year-old and above; -Have an active account at the Bank or open a new one if not have one; -Have a legitimate work where you are employed or; -Have an asset to provide as a collateral; -The Customer must be a lawful resident of Ethiopia; -The Customer must provide his/her true and accurate personal information; -The Customer must possess his/her phone number every time using the DubeAle application; -The Customer must link its DubeAle account with the bank by going to the branch to activate the service; - The Customer must provide his/her phone number which is currently under his/her possession and actively working; -The Customer must authorize the transaction by providing the OTP sent through his/her phone number, in other words by providing the number the Customer is digitally signing to allow the transaction;
5. Your privacy, your choice
When you access our DubeAle application, we collect and process your personal data. One of the ways we do this is by using cookies. By selecting Accept, you agree with the processing of your personal data for performance, marketing, and advertisement purposes, as well as us using cookies to do so. You can find the full list of the cookies used and learn more about why and how we process your personal data in our Privacy Policy, which is considered as part and parcel of these Terms and Conditions. You can always withdraw your consent through the Privacy Settings section of our application
6. DubeAle Accounts
You will need your own DubeAle account (each, an “Account”) to use certain Services. Each person may only hold one DubeAle Account. In consideration of your use of the Services, you agree to
A. provide accurate, current, and complete information about you as may be prompted by any registration forms on or through the Services or otherwise requested by DubeAle (“Registration Data”);
B. maintain the confidentiality and security of your password and identification and agree to accept responsibility for all activities that occur with your permission under your account or password;
C .maintain and promptly update the Registration Data, and any other information you provide to DubeAle, to keep it accurate, current, and complete;
D. promptly notify DubeAle regarding any material changes to information or circumstances that could affect your eligibility to continue to use the Services or the terms on which you use the Services; and
be fully responsible for all use of your Account and for any actions that take place using your Account.
If your password is lost or stolen, or if you believe there has been unauthorised access to your Account by third parties, please notify us immediately and change your password as soon as possible.
You may request to close your Account at any time by contacting us at contact@eaglelionsystems.com. Your request may take up to 30 (thirty) business days to process. If you owe any payment to DubeAle, DubeAle will not close your Account until that payment has been made, but we may limit your ability to make additional transactions using your Account.
You may not close your Account to evade an investigation. You will remain liable for all obligationsrelated to your Account even after the account is closed. DubeAle will retain your information in accordance with our Privacy Policy (available on the DubeAle website) and any applicable state or federal law, rule, or regulation.
7.Intellectual
All the intellectual property rights related to DubeAle application, its contents, the logos, images graphics trademark of EagleLion System Technology PLC, you shall not copy, modify or reverse engineer them.
8. Termination of the use of DubeAleApplication
To terminate the use of DubeAle application, at any time, the Customer must be clear of any payments from the usage of the DubeAle application and communicate EagleLion System Technology PLC through its contact email at contact@eaglelionsystems.com.
9. Indemnification
You agree to indemnify and hold EagleLion System Technology PLC harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the use of DubeAle application.
10. Prohibited Activities
You agree not to use the Services for any unlawful or fraudulent activity and to immediately contact us if you believe that your Account may be subject to unauthorized use, account takeover, or other types of fraudulent activity or security breach. By using the Services, you agree that you will not and will not assist or enable others to do any of the following:
10.1 Breach or circumvent any applicable laws or regulations, agreements with third parties, third-party rights, or agreements with us, including this Agreement;
10.3 Provide false, inaccurate, or misleading information to us;
Provide information belonging to any person other than yourself;
Use a DubeAle Account that belongs to another person for yourself or on behalf of another person;
Use any device, software, routine, file, or other tool or technology, including but not limited to any viruses, trojan horses, worms, time bombs, or cancel bots, intended to damage or interfere with the Services or to surreptitiously intercept or expropriate any system, data or personal information from the Services;
Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, including but not limited to denial-of-service attacks, “spam” or any other such unsolicited overload technique; or
Commit unauthorised use of the Services, including but not limited to unauthorized entry into our systems, misuse of passwords, or misuse of any information posted to the Services;
Open or use multiple DubeAle Accounts; or
Harass, threaten, or abuse our employees, agents, or other users.
11. Limitation of Liability
You understand and agree that EagleLion System Technology PLC will not be liable to you for any indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if you have been advised of the possibility of such damages), resulting from your use or access of, or inability to use or access of DubeAle application.
12. Short Message Service (“SMS”) Communications
12.1 If you choose to open an Account, DubeAle may send you SMS messages. You agree to receive SMS messages to each telephone number provided by you to DubeAle, regardless of whether such telephone number is on a corporate, state or federal do-not-call registry. You certify, represent and warrant that the telephone number that you have provided to us is your number and not someone else's. You represent that you are permitted to receive SMS at the telephone number you have provided to us. You agree to alert us whenever you stop using a particular telephone number.
12.2 Any such SMS messages sent to you by DubeAle will verify your phone number or service any upcoming or overdue payments associated with the Extended Repayment Feature—DubeAle will not send you advertisements or marketing-related SMS. You understand that such SMS may be placed using an automatic telephone dialing system or may include automated SMS messages. You agree that you are responsible for any message, data rates or fees that your telephone service provider charges in relation to SMS messages sent and received by you. If you have any questions regarding those rates, please contact your bank.
12.3 By entering your mobile number, you agree to receive text messages for service notifications and verification codes from DubeAle. Message frequency will vary.Click on STOP to stop (or cancel).the sending of SMS Standard Message & Data rates may apply. We do not sell your data. EagleLion System Technology PLC are not liable for delayed or undelivered messages.

14. Applicable Law and Jurisdiction
Except as expressly provided otherwise, this Agreement is governed by and will be construed under, the laws of FDRE (other than small claims actions) that are excluded from the agreement to arbitrate must be brought in the state or federal court in or closest to, Addis Ababa, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction there and both parties agree to waive their right to a legal proceedings.
